End-User License Agreement (EULA)

Effective Date: January 1, 2025

This End-User License Agreement ("Agreement") is a binding contract between you (“User”) and High Street Equity Partners LLC (“High Street,” “we,” or “us”) regarding the use of the proprietary software tool, VANTAGE, developed and maintained by High Street. By accessing or using VANTAGE, you agree to be bound by the terms of this Agreement.

1. License Grant‍
High Street grants the User a limited, non-exclusive, non-transferable, revocable license to access and use VANTAGE solely for the purposes intended by High Street Equity Partners LLC. Use of VANTAGE is restricted to High Street team members only.

2. Restrictions on Use
You agree to use VANTAGE only as authorized under this Agreement. You shall not:

1. Copy, distribute, sublicense, sell, or lease any portion of VANTAGE.
2. Reverse engineer, decompile, or attempt to derive the source code of VANTAGE.
3. Permit any unauthorized third party to access or use VANTAGE.
4. Use VANTAGE for any unlawful purposes or activities.

Any violation of these restrictions may result in the immediate termination of your license.

3. Disclaimer of Liability
High Street Equity Partners LLC disclaims any and all liability for decisions made or outcomes resulting from the use of VANTAGE.

The User assumes full responsibility for all decisions and actions taken based on data or insights provided by VANTAGE.

VANTAGE is provided on an "AS-IS" and "AS-AVAILABLE" basis, without warranties of any kind, including implied warranties of merchantability or fitness for a particular purpose.

4. Termination
This Agreement is effective until terminated. High Street reserves the right to terminate this Agreement and your access to VANTAGE at any time and for any reason, including but not limited to:
* Breach of any terms of this Agreement.
* Misuse or unauthorized access to VANTAGE.

Upon termination, you must immediately cease all use of VANTAGE.

5. Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware or the District of Columbia, without regard to its conflict of law principles. Any disputes arising under this Agreement shall be resolved in the courts of Delaware or the District of Columbia.

‍6. Entire Agreement‍
This Agreement constitutes the entire understanding between the parties concerning the use of VANTAGE and supersedes all prior agreements or understandings, whether written or oral.
